1. Acceptance of Terms

Welcome to MyOrg.ai. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MyOrg.ai, Inc. ("MyOrg.ai," "we," "us," or "our") governing your access to and use of the MyOrg.ai platform, including our MCP Server Datasets services, websites, APIs, and related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

MyOrg.ai provides an enterprise data platform that enables users to:

• Connect AI assistants to datasets using MCP (Model Context Protocol) servers
• Query CSV, Parquet, JSON, and other data files using natural language
• Manage data governance, security, and access controls
• Access professional services including Snowflake consulting and data migration

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify users of material changes to the Services.

3. Account Registration

3.1 Account Requirements

To access certain features of the Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you must have the authority to bind that organization.

4. Acceptable Use

4.1 Permitted Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree to use the Services in compliance with all applicable laws, regulations, and third-party rights.

4.2 Prohibited Uses

You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to compete with MyOrg.ai or to build a similar service
• Resell, sublicense, or distribute the Services without authorization
• Use automated means to access the Services without our written consent
• Circumvent any access controls, rate limits, or security measures

5. User Content

5.1 Your Content

"User Content" means any data, files, information, or materials you upload, submit, or transmit through the Services. You retain all ownership rights to your User Content.

5.2 License Grant

By uploading User Content, you grant MyOrg.ai a limited, non-exclusive, royalty-free license to process, store, and display your User Content solely as necessary to provide the Services to you.

5.3 Your Responsibilities

You are solely responsible for your User Content and represent that:

• You have all necessary rights to upload and use the User Content
• The User Content does not violate any applicable laws or third-party rights
• The User Content does not contain sensitive personal information unless properly protected

6. Intellectual Property

6.1 Our Rights

The Services, including all software, content, designs, trademarks, and other intellectual property, are owned by MyOrg.ai or our licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited license to use the Services as described herein.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

7. Payment Terms

7.1 Fees

Certain features of the Services require payment. You agree to pay all fees associated with your subscription plan according to the pricing displayed at the time of purchase.

7.2 Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as specified in our refund policy
• We may change our pricing with 30 days' notice
• You are responsible for all applicable taxes

7.3 Payment Failure

If payment fails, we may suspend or terminate your access to the Services. We will make reasonable efforts to notify you before taking such action.

8. Confidentiality

Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform under these Terms.

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that we will provide the Services using reasonable skill and care and in accordance with the service level commitments in your subscription plan.

9.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• MYORG.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL
• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless MyOrg.ai, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time by following the instructions in your account settings or by contacting us. Termination does not entitle you to a refund of any prepaid fees.

12.2 By Us

We may suspend or terminate your access to the Services at any time for any reason, including:

• Violation of these Terms
• Non-payment of fees
• Conduct that we determine is harmful to other users or our business
• Legal or regulatory requirements

12.3 Effect of Termination

Upon termination, your right to use the Services will cease immediately. You may request export of your User Content within 30 days of termination. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, and indemnification.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles.

13.2 Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration administered by JAMS in San Francisco, California, except that either party may seek injunctive relief in any court of competent jurisdiction.

13.3 Class Action Waiver

You agree to resolve any disputes on an individual basis and waive any right to bring claims as a class or collective action.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and MyOrg.ai.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
